1. What CARZyro is (and is not)
CARZyro (“CARZyro”, “we”, “us”) is an online marketplace at carzyro.com that helps people looking for a vehicle (“buyers”) find vehicles listed by independent car dealers (“dealers”). The service is operated by [LEGAL BUSINESS NAME AND TYPE, e.g. “Example LLC, a Texas limited liability company”], [BUSINESS ADDRESS].
CARZyro is not a car dealer, broker, lender or agent for either side. We do not own, inspect, sell or deliver any vehicle, we do not set prices, and we are not a party to any sale, financing, trade-in or other agreement between a buyer and a dealer. Any purchase happens directly between the buyer and the dealer, away from CARZyro, and no payment for a vehicle is made through CARZyro.
2. Agreeing to these Terms
By using CARZyro, ticking a box that refers to these Terms, creating a dealer account, or sending a message to a dealer, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use CARZyro. If you use CARZyro for a business, you confirm that you have the authority to accept these Terms for that business.
3. Who may use CARZyro
CARZyro is intended for people who are at least 18 years old and located in the United States. Dealers must hold every license and registration that the law requires to sell vehicles in the places where they operate.
4. For buyers
- Searching is free. You do not need an account to search or to contact a dealer.
- Contacting a dealer. To send a message you must give a real name and an email address you control, and confirm that email address with a 6-digit code. Your name, email address, optional phone number and message are sent to the dealer, who may contact you. Your phone number is not verified by us.
- No guarantee. Dealers reply on their own schedule. We do not guarantee that a dealer will answer, that a vehicle is still available, or that a listing, price, photograph or description is accurate or complete.
- Do your own checks. Before you buy, confirm the details with the dealer in writing, review a vehicle history report, and consider an independent inspection. Never send money before you have seen the vehicle and the paperwork.
- Be honest and respectful. Do not send spam, false information, threats or anything unlawful, and do not use another person’s email address.
- Messages. Chat messages in Messages are normally kept for 3 months; longer if needed for a report or dispute (see section 9). When CARZyro investigates a report, a dispute or misuse, authorised staff may read the conversations involved, and every time they do it is recorded.
5. For dealers
- Sign-up and approval. A new dealership creates an account, confirms its email address with a 6-digit code, signs the listing authorization (section 6), and is reviewed by CARZyro, which includes a phone call to the number provided. We may approve, reject or later withdraw approval at our discretion. Listings only become visible to buyers after approval.
- Accurate information. You must give accurate account details and keep them up to date. You are responsible for everything done through your account and for keeping your password secret. Tell us right away if you think your account has been used without your permission.
- Your team. You may invite employees to use your dealer account with limited access (for example managers, sales or inventory staff) from the Team section of your dashboard. Only invite people you are authorized to give access to, and tell them about these Terms and the Privacy Policy. You are responsible for everything your team members do on CARZyro as if you had done it yourself, and you must switch off or remove anyone who should no longer have access. Team members cannot sign the listing authorization, manage billing or delete the account; only the owner can.
- You are responsible for your listings. You promise that every listing is truthful and not misleading; that the vehicle exists, is lawfully yours to sell, and is available on the terms shown; that prices, mileage, condition, features, VIN and photographs are accurate; and that your advertising follows all applicable federal, state and local laws, including rules on price advertising, taxes, title and other fees, warranties and disclosures. Update or remove a listing when a vehicle is sold or no longer available.
- Photos and text. Upload only photographs and text you have the right to use. Do not upload anything unlawful, offensive, misleading or that infringes someone else’s rights.
- Buyer information. You may use the contact details and messages you receive from buyers only to respond to that buyer’s inquiry about your vehicles and to comply with the law. You must not sell them, share them with unrelated parties, or send marketing to a buyer who has not asked for it. You must handle buyer information in line with applicable privacy, telemarketing and email laws.
- Dealings with buyers. Your dealings with buyers are entirely your responsibility. CARZyro is not liable for what you tell a buyer or for any sale.
- Reporting sales. When a vehicle is sold, mark it as Sold in your dashboard and give the date it was sold and whether the buyer contacted you through CARZyro. Please do not delete a sold vehicle instead of marking it sold. CARZyro may ask buyers who contacted you about a vehicle whether they bought it, and may use their answers, together with our records of messages and visits, to check that sales and reports are accurate. [LAWYER/OWNER TO DECIDE: any fee, commission or other payment that depends on vehicles sold; how a sale is attributed to CARZyro; the dealer’s duty to report and to cooperate; CARZyro’s right to verify; how disputes are handled; and whether such a fee is lawful in the states where dealers operate.]
- Price ratings. CARZyro compares your price with similar vehicles on CARZyro and may show a rating badge. Your listing prices may be used to rate other dealers’ vehicles, and theirs to rate yours. In the same way, they are used in the market range and suggested price shown to dealers, as totals from many listings only: no dealer sees another dealer’s details there.
- Featuring. Dealership owners and private sellers can pay a flat price to show a car in the Featured carousel at the top of the homepage (and first in matching searches) for 7 or 30 days. Featured cars are labeled as paid placement. What you get, the prices, and what happens if the car sells are set out in How featuring works, which you agree to before your first purchase and which forms part of these Terms for anyone who features a car.
6. Listing authorization
Before you can add vehicles, you must sign the separate Inventory Listing Authorization. That signed document gives us permission to display and distribute your inventory information on CARZyro. We keep a permanent, tamper-evident record of what you signed, when, and details about the device used (see the Privacy Policy). You may withdraw your authorization at any time from your dealer dashboard, and if you do, your listings are removed from CARZyro immediately. If these Terms and the Inventory Listing Authorization conflict on how your listings may be displayed, the Authorization applies.
7. Fees and subscriptions
- Dealers receive a free trial of 3 months that starts on the day their account is approved. No payment or card is needed to sign up. We email you before the free trial ends.
- To keep your listings visible after the free trial, buy the monthly subscription from your dealer dashboard. You can buy it at any time after approval. The subscription currently costs $199.99 a month; the price is also shown in the Dealer Portal before you pay.
- Private sellers pay a monthly fee for each listed car, by the car’s asking price, after a free period of 1 month that starts when the listing is approved. The fees are currently $100 a month for cars priced $10,000 or less, $200 a month for $10,001 to $20,000, and $300 a month for over $20,000. The listing renews monthly until the car is marked sold or the listing is removed. [LAWYER: confirm this description of the private seller fees.]
- If you subscribe during the free trial, you keep it. Your card is saved and first charged on the day the free trial ends, then every month on that date. If the free trial ends within 48 hours of subscribing, the first charge is taken on the day you subscribe instead, then every month on that date. If you cancel before the first charge, you are not charged at all.
- If you subscribe after the free trial has ended, your card is charged that day and then every month on the same date.
- You can update your card, download invoices and receipts, and change your billing email from the Account section of your dealer dashboard (“Manage card, receipts & billing email” opens Stripe’s secure billing page).
- If the free trial ends and you have not bought the subscription, your listings are hidden from buyers until you do. Nothing is deleted.
- Payments are processed by our payment provider, Stripe. CARZyro does not see or store your full card number.
- Subscriptions renew monthly until cancelled. You can cancel at any time from the Account section of your dealer dashboard: the subscription then stays active until the end of the period you have already paid for and does not renew, and you can change your mind before it ends. You can also delete your account there, which cancels the subscription immediately. [LAWYER/OWNER TO DECIDE: the refund policy, and the automatic-renewal disclosures that state law requires.]
- Price changes. CARZyro may change the subscription price and the listing fees. When it does, everyone with a running subscription or a billed listing is emailed straight away with the old and the new price and the date of their first charge at the new price, and moves to the new price from their next charge after the change (nothing is charged or refunded for the current period because of the change). You can cancel your subscription, or mark your car sold or remove your listing, before that charge and you won’t pay the new price. A change of the free period applies only to accounts approved and listings approved after it. [LAWYER: confirm that moving existing subscribers to a new price from their next charge, with notice by email at the time of the change, is enough, or whether a minimum notice period (e.g. 30 days before the charge) or fresh consent is required, in particular under state automatic-renewal laws; and confirm the automatic-renewal wording.]
- CARZyro may extend free months or issue credits at its discretion. A credit is taken off your next invoices; it is not paid out as cash. [Confirm with your lawyer.]
- While CARZyro has suspended a private seller’s account, or has hidden a private listing while it looks into a report, that listing’s monthly fee is paused: nothing is charged for that time, and billing carries on from the next billing date once the listing can be shown again. A dealership’s subscription is not per car, so hiding one of its cars doesn’t change it.
- Buyers are not charged anything by CARZyro.
8. CARZyro team members acting for a dealer
Where a dealer has asked us to, or where the dealer’s signed authorization allows it, authorised CARZyro team members may enter or edit listings for that dealer. Everything they do is recorded in our audit log under their own name. The dealer remains responsible for the accuracy of its listings, whoever entered them.
9. Ratings, reports and the chat assistant
- Price ratings (“Great Deal”, “Good Deal”, “Fair Deal”) are simple estimates that compare a vehicle’s price with similar vehicles listed on CARZyro. They are not an appraisal or an official valuation, and they may be wrong or unavailable.
- Dealer reviews are written by CARZyro users about their own experience with a dealer and are their authors’ opinions, not CARZyro’s. Only users who contacted the dealer through CARZyro can review it. Reviews and dealers’ replies must follow the review guidelines; we may remove content that breaks them, and we apply them the same way to positive and negative reviews. You must not write a review of your own dealership or a competitor, or offer anything in exchange for a review.
- Dealer reports (the reports, the Performance view, featuring results, and the market range and suggested price) are provided for information. Visitor and other counts are approximate, and a market range or suggested price is an estimate, not an appraisal.
- The chat assistant is an automated tool that answers common questions and searches current listings. It is not a person, it can make mistakes, and it does not give legal, financial or vehicle-condition advice.
- Reporting a listing or a dealership. Anyone can use “Report this listing” on a car’s page or “Report this dealership” on a dealer’s page, choosing a reason (such as a scam, a car that doesn’t exist or was sold, wrong details, offensive content or a suspected stolen car) and adding details. Without an account you give an email address and pass an “I am human” check. There are limits (for example one open report per person for the same car or dealership, and a few reports an hour from one place) to stop misuse. CARZyro staff review every report; we may contact you about it, but we don’t promise any particular outcome or reply, and the seller is never told who reported them. Do not send false or malicious reports.
- Holds. While we look into a report, we may hide a listing from buyers (a “hold”). Nothing else about it changes, the seller sees “Hidden while CARZyro reviews a report”, and a private listing’s monthly fee is paused meanwhile (section 7). When we are done, it is shown again as it is, or we take the action these Terms allow (section 14).
- Disputes. If a buyer and a seller or dealership disagree about something that happened through CARZyro, our staff may open a dispute, keep the conversations involved for as long as it is open, and read them. CARZyro is not a party to any sale and does not decide who is right in law; we may act only on accounts and listings on CARZyro. [Confirm with your lawyer.]
10. Acceptable use
You agree not to: break the law or these Terms; post false, misleading or fraudulent listings or messages; impersonate anyone; harvest or scrape data from CARZyro in bulk without our written permission; interfere with or try to overload or bypass the security of the service (including the captcha, verification codes and rate limits); try to access accounts or data that are not yours; upload malware; or use CARZyro to send unsolicited advertising.
11. Content you provide
You keep ownership of the content you provide (for example listings, photographs and messages). You give CARZyro a non-exclusive, worldwide, royalty-free license to host, display, copy, resize, format and distribute that content as needed to run and promote the service, including showing dealer listings to buyers and passing buyer messages to dealers. For dealers, the Inventory Listing Authorization describes this permission in more detail. [LAWYER: confirm whether a copyright-complaint (DMCA) agent should be registered because dealers upload photographs.]
The CARZyro name, logo, website design and software belong to us or our licensors. These Terms do not give you any right to use them except to use the service as intended.
12. Third-party services
CARZyro relies on other companies to work, including services for hosting, database storage, email delivery, bot protection (captcha), payments, and decoding vehicle identification numbers. Their own terms and privacy policies apply to their services. We are not responsible for their acts or for outages that are outside our reasonable control. See the Privacy Policy for a list.
13. Disclaimers and limits of liability
[LAWYER TO REVIEW AND ADAPT THIS WHOLE SECTION TO THE GOVERNING STATE. The wording below is a typical starting point only.]
CARZyro is provided “as is” and “as available”. To the fullest extent the law allows, we do not promise that the service will be uninterrupted or error-free, and we make no promises about the accuracy or completeness of any listing, price, photograph, rating or message, or about any vehicle or dealer.
To the fullest extent the law allows, CARZyro and its owners, employees and suppliers are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost sales or lost data, or for any loss arising from a transaction or dealings between a buyer and a dealer. Our total liability to you for any claim about the service is limited to the greater of [amount, e.g. $100] or the fees you paid to CARZyro in the 12 months before the claim. Some places do not allow certain limits, so parts of this section may not apply to you.
You agree to defend and compensate CARZyro against claims and costs that result from your listings, your content, your dealings with buyers, or your breach of these Terms. [LAWYER: confirm this indemnity for dealers, and whether it should apply to buyers.]
14. Suspension and ending your account
We may remove listings, suspend or end an account, or block access at any time if we reasonably believe these Terms have been broken, a listing is inaccurate or unlawful, or to protect buyers, dealers or the service. You may stop using CARZyro at any time.
What a suspension of a user account does. The person is signed out everywhere and can’t sign in; their cars for sale are hidden from buyers (nothing else about them changes); messages to and from them are refused; and the monthly fee of their private listings is paused for as long as the suspension lasts (section 7). We usually email a short notice. When a suspension is lifted, the listings that were live are shown again and billing carries on from the next billing date. The reason for a suspension and our staff’s notes are kept in our audit log (see the Privacy Policy). [Confirm the notice and appeal process with your lawyer.]
Dealers can withdraw their listing authorization from the dashboard, and can ask us to close their account by emailing us. Some records, such as signed authorizations and our audit log, are kept as described in the Privacy Policy, and so is a conversation we keep for a report or dispute: it stays, without your name or email, until it is no longer needed. Sections that by their nature should survive (for example ownership, disclaimers, liability and disputes) continue after your account ends.
15. Governing law and disputes
These Terms are governed by the laws of the State of [STATE] and applicable U.S. federal law, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in [COUNTY/CITY, STATE], and you agree to their jurisdiction. [LAWYER TO DECIDE: whether to add an arbitration clause and a class-action waiver instead of, or in addition to, this.]
16. Changes to these Terms
We may update these Terms. When we make a change that matters, we will update the version and date at the top of this page and ask you to agree again the next time you sign up or contact a dealer. Continuing to use CARZyro after a change means you accept it.
